U PARK GROUP, LLC TERMS AND CONDITIONS

Welcome to U Park Group, LLC. These Terms and Conditions (“Terms”) govern your access to and use of the U Park Group, LLC website at www.parkmehere.com, the management portal at portal.parkmehere.com, and all related parking management services (collectively, the “Services”) operated by U Park Group, LLC (“we,” “us,” or “our”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Overview of Services
U Park Group, LLC provides parking management solutions for apartment communities in partnership with property management companies and apartment complexes. Our Services include:
- Issuance and management of resident parking permits
- Issuance and management of guest parking passes
- An online portal for residents to register vehicles, manage permits, and create guest passes
- An administrative portal for apartment community management to oversee parking operations
2. Eligibility
You must be at least 18 years of age to use our Services. By creating an account, you represent and warrant that you are at least 18 years old and that all information you provide is accurate, current, and complete.
3. Account Registration and Responsibilities
- You are required to create an account to access certain features of our Services.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You agree to provide accurate and complete information during registration and to update your information promptly if it changes, including vehicle details, contact information, and unit assignment.
- You must notify us immediately at support@parkmehere.com if you suspect unauthorized access to or use of your account.
4. Vehicle Registration and Parking Permits
- Residents must register all vehicles that will be parked at the apartment community through our portal and provide accurate vehicle information including make, model, year, color, and license plate number.
- Parking permits are valid only for the registered vehicle and the designated apartment community.
- Permits are non-transferable between individuals or vehicles unless updated through the portal.
- You are responsible for keeping your vehicle registration information current. Failure to do so may result in your vehicle being cited or towed.
- Parking permits may be revoked at any time by the apartment community management or by U Park Group, LLC for violation of these Terms or community parking rules.
5. Guest Passes
- Residents may issue temporary guest parking passes through the portal for visitors.
- Guest passes require the guest’s name and vehicle information (make, model, color, and license plate).
- Guest passes are valid only for the specified dates and the designated apartment community.
- Residents are responsible for the conduct of their guests, including compliance with all parking rules.
- Apartment communities may limit the number or duration of guest passes. Abuse of the guest pass system may result in suspension of guest pass privileges.
6. Payments and Fees
- Certain Services may require payment of fees, including but not limited to parking permit fees, guest pass fees, or administrative fees as determined by the apartment community.
- All fees are displayed at the time of purchase and are processed securely through our third-party payment processor.
- Payments are due at the time of purchase unless otherwise specified.
- Refund policies are determined by the applicable apartment community’s parking program. Please contact your apartment community management or support@parkmehere.com for refund inquiries.
7. Apartment Community Administrator Accounts
- Apartment community administrators access the Services through the management portal at portal.parkmehere.com.
- Administrator accounts are granted pursuant to a separate service agreement between U Park Group, LLC and the apartment community or property management company.
- Administrators are responsible for the proper use of the portal and for ensuring that their staff members who access the portal comply with these Terms and applicable privacy obligations.
- Administrator access may be modified or terminated in accordance with the applicable service agreement.
8. Prohibited Conduct
You agree not to:
- Provide false, misleading, or inaccurate information when registering vehicles, creating guest passes, or managing your account
- Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Services, other user accounts, or any systems connected to the Services
- Interfere with or disrupt the Services, servers, or networks connected to the Services
- Use the Services to harass, abuse, or harm others
- Reproduce, duplicate, copy, sell, or exploit any portion of the Services without our express written permission
- Use automated systems, bots, or scripts to access or interact with the Services
- Forge or manipulate parking permits, guest passes, or any documents generated through the Services
9. Towing and Parking Enforcement
Vehicles parked at participating apartment communities without valid permits or guest passes may be subject to citation, booting, or towing at the vehicle owner’s expense, in accordance with the apartment community’s parking policies and applicable local laws. U Park Group, LLC is not directly responsible for towing decisions, which are made by apartment community management and their authorized enforcement partners.
10. Intellectual Property
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, software, and design, are the property of U Park Group, LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, or distribute any content from the Services without our prior written consent.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Services will be uninterrupted, timely, secure, or error-free
- The results obtained from use of the Services will be accurate or reliable
- Any defects in the Services will be corrected
U Park Group, LLC does not guarantee the availability of parking spaces at any apartment community.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, U PARK GROUP, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless U Park Group, LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your use of or access to the Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any inaccurate or false information you provide through the Services
- Any disputes between you and your apartment community regarding parking
14. Termination
We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, if we reasonably believe you have violated these Terms or if requested by your apartment community management. Upon termination:
- Your right to use the Services will immediately cease
- Any active parking permits or guest passes associated with your account may be revoked
- We may retain certain information as required by law or for legitimate business purposes
You may also terminate your account at any time by contacting us at support@parkmehere.com.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Services shall be resolved in the state or federal courts located in Denver, Colorado, and you consent to the personal jurisdiction of such courts.
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at support@parkmehere.com. We will make good faith efforts to resolve the matter within thirty (30) days.
16. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, power outages, internet disruptions, pandemics, or other force majeure events.
17. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the “Last Updated” date at the top of this page. We may also notify you of material changes via email or through the Services. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy and any separate service agreements between U Park Group, LLC and apartment community partners, constitute the entire agreement between you and U Park Group, LLC regarding the use of the Services.
